BYLAWS OF STUDENT VETERANS OF AMERICA, SHIPPENSBURG UNIVERSITY

ARTICLE I:

OFFICES

1.01. Principal Office. The principal office of Student Veterans of America (“SVA”) shall be at such place determined by the Board of Directors.

 

Article II:

MISSION and GOALS

The sole mission of the Shippensburg University Student Veterans of America chapter is to enhance the educational experience of veterans in higher education by empowering and supporting student veterans at Shippensburg University.

2.01. Mission. The purpose or purposes for which the SVA is organized are:

1. Generally promote communication and interaction among veterans in order to achieve a healthy environment for veterans while attending Shippensburg University.

2. To ensure that veterans and non-veterans that are currently, active duty personnel, reservists, and ROTC undergraduate students attending Shippensburg University receive all benefits entitled to them.

3. To provide a fellowship of like-minded individuals in order to create a network of students and successful alumni in order to provide professional and leadership development.

4. To act as the primary contact for all student veterans at Shippensburg University.

5. To receive and administer funds in order to achieve the purposes of the organization through activities within the meaning of section 501 ©(3) of the Internal Revenue Code, Shippensburg University funds, Shippensburg Foundation funds, and the Student Association funds.

 

ARTICLE III

BOARD 

In order for the administration of SVA to be conducted with adequate oversight, such that it faithfully represents the interest of its members, the following provisions are established:

 

3.01 General Powers.  The business, property, and affairs of the organization shall be managed by a Board of Directors (“Board”). 

 

3.02 Number.  There shall be not less than four (4) and not more than nine (9) Directors on the Board.

 

3.03. Resignation.  Any Director may resign at any time by providing written notice to SVA.  The resignation will be effective on receipt of the notice or at a later time designated in the notice.  A successor shall be appointed as provide in section 3.05 of these Bylaws.

 

3.04. Removal.  Any Officer may be removed by majority vote by the SVA members.  A member or officer must provide written notice to the SVA stating reasons for removal.  Reasons for removal will be examined by remaining Officers.  If the board believes these reasons are valid, members will vote on removal at the next scheduled meeting.  There must be a majority decision to remove any officer.

 

3.05. Board Vacancies.  A vacancy on the Board may be filled with a person selected by the remaining Officers.

 

3.06. Regular Meetings.  Regular meetings of the Board may be held at a time and place as determined by resolution of the Board without notice other than the resolution.

 

3.07. Special Meetings.  Special meetings of the Board may be called by the President or any two directors at a time and place as determined by those persons authorized to call special meetings.  Notice of the time and place of special meetings shall be given to each Director in any manner at least three days before the meeting.

 

3.08. Statement of Purpose.  Neither the business to be transacted at, nor the purpose of, any regular or special meeting of the Board need be specified in the notice for that meeting.

 

3.09. Waiver of Notice.  The attendance of an Officer at a Board meeting shall constitute a waiver of notice of the meeting, except where a Director attends a meeting for the express purpose of objecting to the transaction of any business because the meeting is not lawfully called or convened.  In addition, the Director may submit a signed waiver of notice that shall constitute a waiver of notice of the meeting.

 

3.10. Meeting by Telephone or Similar Equipment.  An Officer may participate in a meeting by conference telephone or any similar communications equipment through which all persons participating in the meeting can hear each other.  Participation in a meeting pursuant to this section constitutes presence in person at the meeting.

 

3.11. Quorum.  A majority of the Directors then in office constitutes a quorum for the transaction of any business at any meeting of the Board.  Actions voted on by a majority of Directors present at a meeting where a quorum is present shall constitute authorized actions of the Board.

 

3.12. Conflict between Advisory Board and the Board of Directors.  In all matters of conflict between the Advisory Board and the Board of Directors, the Board shall prevail based off the majority decision.

ARTICLE IV

MEMBERSHIP

4.01. Requirements. Membership requirements for SVA include:

1.  Those regularly enrolled as undergraduate or graduate students in Shippensburg University of Pennsylvania; students who are veterans, enrolled in ROTC, active duty personnel/reservists/national guard, and any student who wants to support veterans.

2. Eligibility for membership or appointed or elected student officer positions in the campus-recognized chapter or group may not be limited on the basis of race, religion, national origin, ethnicity, color, age, gender, marital status, citizenship, sexual orientation, or disability.

 

ARTICLE V

COMMITTEES

5.01. General Powers.  The Board, by resolution adopted by a vote of a majority of its Directors, may designate one or more committees; each committee must consist of one or more members.  All committees will be represented by a committee chair and will serve at the pleasure of the Board.  If a committee member is absent or incapable of voting, then a member of the committee previously chosen by majority vote will vote in place of the committee chair.

 A committee designated by the Board may exercise any powers of the Board in managing SVA’s business and affairs, to the extent provided by resolution of the Board.  However, no committee chairman shall have the power to:

 

§  Amend the articles of the organization

§  Fill vacancies on the Board; or

§  Fix compensation of the Directors for serving on the Board or on a committee

 

5.02. Meetings.  Committees shall meet as directed by the Board, and their meetings shall be governed by the rules provided in article III for meetings of the Board.  Minutes shall be recorded at each committee meeting and shall be presented to the Board.

 

ARTICLE VI

ADVISORY BOARD 

6.01. Responsibilities. The Advisory Board of the SVA shall be responsible for assisting the Shippensburg SVA with general operations of the SVA as the Executive Board sees appropriate.

 

6.02. Appointment.  Members of the Advisory Board of SVA shall be appointed by the Board.  The chairman for the Advisory Board will be appointed by majority vote by the Board.

 

6.03. Removal.  Any member of the Advisory Board may be removed with or without cause by majority vote by the SVA members that are present at the time of removal.  The removal shall be without prejudice to the person’s contract rights, if any.

 

6.04. Term of Office.  Members of the Advisory Board shall hold office for a 1 year term.  A member of the Advisory Board may resign at any time by providing written notice to SVA.  Notice of resignation is effective on receipt or at a later time designated in the notice.

 

6.05. Vacancies.  A vacancy of an Advisory Board member for any reason may be filled by any Shippensburg University faculty or staff member based off majority vote of the Board.

 

ARTICLE VII

PRESIDENT 

7.01. Responsibilities.  The duties of the President shall be to:

 

1. Act as the Executive Director for general operations of SVA;

2. Act as a campus representative of SVA;

3. Serve as a member of the Board.

  

7.02. Removal.  The President may be removed with or without cause by majority vote by members of the organization, the President abstaining from said vote and the chairman of the Advisory Board voting in the event of a tie. 

 

7.03. Term of Office.  The position of president shall be held by one (1) person for the Spring and Fall semesters from the time of their election.  A person may be reelected to this position no more than once. 

 

7.04. Vacancies.  A vacancy of the President position for any reason shall be filled by the Vice President for the duration of the vacancy or until a new President is elected, whichever occurs first.

 

ARTICLE VIII

VICE PRESIDENT

8.01. Responsibilities.  The duties of the Vice President shall be to:

1. Assist the Executive Director for general operations of SVA;

2. Act as a campus representative of all student veterans;

3. Serve as a member of the Board; and

4. Serve as President in the event the President resigns, is removed, or is unable to serve for any other reason.

  

8.02. Removal.  The Vice President may be removed with or without cause by vote of a majority of the Board and members of the organization, the Vice President abstaining from said vote and the President voting in the event of a tie. 

 

8.03. Term of Office.  The position of Vice President shall be held by one (1) person for the Spring and Fall semesters from the time of their election.  A person may be reelected to this position no more than once. 

 

8.04. Vacancies.  A vacancy of the Vice President position for any reason shall be filled by the Secretary for the duration of the vacancy or until a new Vice President is elected, whichever occurs first.

 

ARTICLE IX

SECRETARY

9.01. Responsibilities.  The duties of the Secretary shall be to:

 

1. Assist the Executive Director for general operations of SVA;

2. Maintain and record minutes of the meetings of the Board;

3. Serve as a member of the Board; and

4. Serve as Vice President in the event the President resigns, is removed, or is unable to serve for any other reason.

  

9.02. Removal.  The Secretary may be removed with or without cause by a majority vote by SVA members, the Secretary abstaining from said vote and the President voting in the event of a tie. 

 

9.03. Term of Office.  The position of Secretary shall be held by one (1) person for the Spring and Fall semesters from the time of their election.  A person may be reelected to this position no more than once. 

 

9.04 Vacancies.  A vacancy of the Secretary position for any reason shall be filled by the Board by majority decision.  The person appointed shall serve until the next election period at which time a new Secretary shall be elected for a regular term.    .

 

ARTICLE X

Treasurer

10.01. Responsibilities.  The duties of the Treasurer shall be to:

1. Assist the Executive Director for general operations of SVA;

2. Maintain all transactions and records of SVA funds;

3. Serve as a member of the Board

 

10.02. Removal.  The Treasurer may be removed with or without cause by majority vote of SVA members, the Treasurer abstaining from said vote and the President voting in the event of a tie. 

 

10.03. Term of Office.  The position of Treasurer shall be held by one (1) person for the Spring and Fall semesters from the time of their election.  A person may be reelected to this position no more than once. 

 

10.04. Vacancies.  A vacancy of the Treasurer position for any reason shall be filled by the Board.  The person appointed shall serve until the next election period at which time a new Treasurer shall be elected for a regular term.

  

 

ARTICLE XI

Public Affairs Officer 

11.01. Responsibilities.  The duties of the Public Affairs Officer shall be to:

 

1. Assist the Executive Director for general operations of SVA;

2. Communicate with community media to generally promote SVA

3. Serve as a member of the Board

  

11.02. Removal.  The Public Affairs Officer may be removed with or without cause by majority vote of SVA members, the Public Affairs Officer abstaining from said vote and the President voting in the event of a tie. 

 

11.03. Term of Office.  The position of Public Affairs Officer shall be held by one (1) person for the Spring and Fall semesters from the time of their election.  A person may be reelected to this position no more than once. 

 

11.04. Vacancies.  A vacancy of the Public Affairs Officer position for any reason shall be filled by the Board by majority decision.  The person appointed shall serve until the next election period at which time a new Public Affairs Officer shall be elected for a regular term.

 

ARTICLE XII

Legislative Officer 

12.01. Responsibilities.  The duties of the Legislative Officer shall be to:

 

1. Assist the Executive Director for general operations of SVA;

2. Act as the primary advocate regarding veteran issues at the campus, local, state, and national level;

3. Serve as a member of the Board

  

12.02. Removal.  The Legislative Officer may be removed with or without cause by majority vote of the SVA members, the Legislative Officer abstaining from said vote and the President voting in the event of a tie. 

 

12.03. Term of Office.  The position of Legislative Officer shall be held by one (1) person for the Spring and Fall semesters from the time of their election.  A person may be reelected to this position no more than once. 

 

12.04. Vacancies.  A vacancy of the Legislative Officer position for any reason shall be filled by the Board.  The person appointed shall serve until the next election period at which time a new Legislative Officer shall be elected for a regular term.

 

ARTICLE XIII

Transitional Officer

13.01. Responsibilities.  The duties of the Transitional Officer shall be to:

 

1. Assist the Executive Director for general operations of SVA;

2. Serve as the primary director for assisting all veterans entering Shippensburg through the transition process from military to campus life;

3. Ensure student veterans are set up for success upon completion of college;

4. Serve as a member of the Board

  

13.02. Removal.  The Transitional Officer may be removed with or without cause by a majority vote of SVA members, the Transitional Officer abstaining from said vote and the President voting in the event of a tie. 

 

13.03. Term of Office.  The position of Legislative Officer shall be held by one (1) person for the Spring and Fall semesters from the time of their election.  A person may be reelected to this position no more than once. 

 

13.04. Vacancies.  A vacancy of the Transitional Officer position for any reason shall be filled by the Board.  The person appointed shall serve until the next election period at which time a new Transitional Officer shall be elected for a regular term.

ARTICLE XIV:

ELECTIONS

14.01. Election. All Officers shall be elected the last week of November by majority vote of SVA members at a location determined by the Board.  The Vice President must have served or be serving in the U.S. armed forces, and be able to commit to serving for the Spring and Fall semesters from the time of their election.  In addition, must be an undergraduate student that is in good academic standing (2.5 GPA) at Shippensburg University.

ARTICLE XV:

GROUNDS FOR REMOVAL

 15.01. Officer. An Officer may be removed from office under the following grounds:

1.   Failure to remain in good academic standing (2.5 GPA).

2.   Neglect of office

3.   Demonstration of incompetency

4.   Abusive management of funds

5.   Infringement of SVA Bylaws, Swataney, or other Shippensburg University policies

An Officer may be removed from office if the three-fourths majority of members vote to have officer removed.  The Student Senate Vice President must then be notified of the Officer change via a new SGAC Information Sheet.

15.02. Member. A member may be removed from office if a 2.0 GPA is not maintained. Removal is also approved if a member fails to obey Shippensburg University rules.  A member may be removed from the organization if the majority of members vote to have the member removed.

ARTICLE XVI:

FINANCES AND DUES

16.01. Finances. All Finances will be handled by the Treasurer.  Collection of money for food or activities will be conducted prior to the activity and notice of financial obligations before an event will be made known through e-mail or announcement at a prior meeting.  If a student cannot pay for certain activities or events they will not be denied access.

16.02. Finances. Members will be required to pay their dues no later than three weeks prior to the end of the fall semester.  Members will be subject to annual dues of ten dollars per member.

ARTICLE XVII:

PARLIMENTARY AUTHORITY

17.01. Rules. The rules contained in the current edition of Robert’s Rules of Order Newly Revised shall govern the organization in all cases in which they are applicable and in which they are not inconsistent with these bylaws and any special rules of order the organization may adopt.

 

ARTICLE XVIII:

FISCAL CALENDER

18.01. Fiscal Calendar. The fiscal year for Student Veterans of America, Shippensburg University starts and ends on December 31st.

 

ARTICLE XIX

AMENDMENTS

19.01. Bylaws. These bylaws may be amended at any regular or special meeting by the Board of Directors by a two-thirds vote, provided that the amendment has been submitted in writing at the previous regular meeting.  These changes must be submitted to the Student Groups and Activities Committee to be made official.
